Terms of Service
Crafya is in pre-launch. These Terms also apply to product features only when they are made available.
1. About Crafya and these Terms
"Crafya", "we", "our" and "us" refer, at this stage, to Paul Okonkwo, founder and promoter of the proposed venture known as Crafya, operating from Nigeria. Crafya is not represented here as an incorporated company. When an incorporated entity becomes the operator, we will identify it and explain any legally effective change to the contracting party.
These Terms of Service ("Terms") govern access to crafya.com, the waitlist, any invitation-only beta, and product features made available under the Crafya name. By creating an account or using an active platform feature, you agree to these Terms. Visiting the public site does not, by itself, enroll you in a paid service. Our Privacy Policy separately explains how personal information is handled.
Additional terms may apply to a particular campaign, collaboration, beta programme, payment, seller integration or service. We will present those terms when relevant. If they conflict with these Terms, the more specific terms govern that activity, subject to applicable law and mandatory rights.
2. Stage of development; what is and is not available
Crafya is currently in pre-launch and product development. The public site is primarily for information, research and waitlist registration. Joining the waitlist is an expression of interest, not a promise of admission, employment, earnings, a paid campaign or a specific launch date.
The planned platform is being developed in stages: (a) creator profiles and discovery, brand campaigns, applications/invitations, messaging, collaboration workflows and performance tracking; (b) commerce integrations, product referrals, attribution and commission-based selling; and (c) conversational AI assistance with campaign creation, creator matching and related workflows. These describe planned directions, not representations that all features are live.
A section of these Terms addressing a future feature applies only when that feature becomes available and you choose to use it. Features may be tested with a limited group, updated, discontinued or delayed. We will not charge for a feature without showing relevant pricing and obtaining the required authorization before payment.
3. Eligibility, accounts and authority
You must be at least 18 years old and legally able to enter a binding contract to create a creator or business account or participate in commercial collaborations. If you act for a business, you confirm that you are authorized to bind that business. Where required, we may request reasonable verification information.
You agree to provide accurate information, keep your login credentials confidential, protect your account, and notify us promptly of suspected unauthorized access. Do not transfer or sell your Crafya account, misrepresent your identity, impersonate someone else or create deceptive profiles.
We may refuse entry into a closed beta, impose reasonable eligibility requirements, require account verification or suspend access where needed for security, integrity, compliance or trust.
4. Creators, businesses and Crafya's role
Creators are people or teams offering content, influence, editing, distribution or related services. Businesses are brands, agencies or other authorized buyers seeking those services. Crafya provides discovery, workflow, communication and measurement tools. Unless clearly stated in a separate written agreement, Crafya is not the employer, agency, manager, representative or partner of either side.
A collaboration generally exists between the creator and the business, not between either party and Crafya. Each party is responsible for its commitments, claims, legal compliance, tax obligations and work it authorizes or supplies. Crafya may set platform standards, record agreements and assist with support or disputes without becoming the contracting party to the collaboration.
We do not guarantee the skill, identity, audience authenticity, solvency or conduct of any creator or business. Verification marks, metrics and recommendations may assist evaluation but are not endorsements or guarantees.
5. Social account connections and profile information
Where the relevant integration is supported, creators may connect accounts on services such as Instagram/Meta, YouTube/Google, TikTok, X, Reddit or Twitch using the third-party authorization process. Available integrations, requested permissions, metrics and refresh intervals vary by platform and are subject to that platform's rules and technical limits.
Connecting an account authorizes Crafya to access only the data and functions disclosed in the connection flow and allowed by the platform. Crafya does not need your social-network password and does not acquire ownership of your social account. You can revoke permissions using Crafya controls, where available, or the third party's settings; some previously generated campaign records may remain where lawfully needed.
You must connect only accounts that you own or are authorized to administer. Do not artificially inflate followers, views or engagement, or provide false demographics, portfolio samples or historical results.
6. Profiles, discovery and recommendations
Profiles may contain your name or business identity, handles, niche, location, portfolio, offerings, rate-card information, linked social accounts and relevant audience/performance summaries. Information you mark public or publish for discovery may be visible to visitors, logged-in users or potential partners, as the relevant interface explains.
Discovery ranking and creator recommendations may use stated interests, campaign requirements, profile completeness, audience fit, previous work, performance indicators and other disclosed signals. Placement, invitations and selection are not guaranteed. You are responsible for checking whether a profile, opportunity or recommended match is suitable before contracting.
7. Campaigns, applications and collaboration terms
Businesses may publish campaigns for UGC content, creator-led posts, clipping/editing, affiliate or other collaborations, as those options become available. Campaign briefs should describe the work, platforms, deliverables, dates, review expectations, usage rights and proposed compensation honestly and clearly.
Applications, invitations, discussion or verbal acceptance alone do not necessarily create an enforceable platform-recorded collaboration. Where Crafya provides a Deal Room or Collaboration Terms flow, the business and creator should finalize the deliverables, timeline/workflow, compensation/payout, review/revisions and usage rights, and formally accept the resulting terms before work proceeds.
Once a collaboration is accepted, its recorded terms are the reference point for that engagement. Material changes (including added deliverables, revised compensation or expanded usage rights) require agreement by the affected parties; Crafya does not silently rewrite an accepted deal. If a separately signed agreement applies, the parties remain responsible for ensuring consistency and resolving discrepancies.
8. Content submissions, reviews and intellectual property
Unless the parties expressly agree otherwise, the creator retains ownership of original content they create. Uploading, linking or submitting work grants Crafya a limited, non-exclusive licence to host, process, display, transmit, watermark and share that work as reasonably needed to operate the agreed workflow, including review, tracking, dispute handling and permitted promotion expressly selected by the user.
The business receives only the licences and usage rights expressly granted by the accepted Collaboration Terms or a separate agreement. Those terms should specify relevant channels, territory (where relevant), duration, editing rights, paid-ad usage, raw files, sublicensing, exclusivity and any restrictions. Payment by itself does not automatically transfer full copyright or unrestricted perpetual usage rights.
Where review is required, a watermarked or preview version may be submitted for approval before delivery of a final file or final link. Neither side may remove an agreed watermark, distribute non-approved content or reuse work outside the negotiated rights. Each user warrants that content it submits or commissions does not unlawfully infringe others' rights.
Creators and businesses must use clear advertising/sponsorship disclosures and meet applicable consumer, intellectual-property and platform-specific rules. Brands are responsible for the accuracy and substantiation of product/service claims they request creators to make.
9. Measurement, reporting and performance
Crafya may display connected-platform metrics such as follower/subscriber totals, reach, impressions, views, engagement rate, selected audience demographics and campaign performance, where permitted and actually available. Different platforms calculate metrics differently; figures can be delayed, rounded, corrected or unavailable.
Metrics, expected views, CPM estimates, creator match scores, attribution and other forecasts are informational indicators, not guarantees of impressions, sales, engagement, return on spend or creator earnings. Where performance-based compensation applies, the accepted collaboration should define the measurement source, eligible actions, reporting window, validation process, fraud exclusions and dispute procedure.
Users must not manipulate results, use bots, buy fake interactions or mislead others with edited screenshots or fabricated analytics. We may review suspicious activity and withhold display of disputed metrics while investigating, without overriding mandatory legal or payment rights.
10. Messaging and collaboration workspaces
When messaging becomes available, you may use it only for legitimate Crafya-related communications. Messages and attachments may be processed to deliver the service, detect abuse, facilitate user-initiated support, preserve agreed collaboration records and address complaints, as explained in the Privacy Policy.
Do not use messaging to harass, threaten, deceive or solicit unlawful transactions. The platform may retain a record of an accepted Collaboration Terms snapshot even if the chat history changes. Do not rely on chat messages alone as the final record of a negotiated commercial agreement where the platform provides a formal acceptance process.
11. Fees, funding, payouts and taxes
At pre-launch, joining the waitlist is free. For future paid features, Crafya will disclose applicable subscription charges, platform fees, processing charges and any commission before the user authorizes the charge or enters a binding paid arrangement. A fee schedule or transaction-specific checkout/acceptance screen may supplement these Terms.
If funding and payouts are enabled, payments may be handled by authorized third-party payment service providers under their own terms, verification and compliance requirements. Crafya does not represent itself as a bank, licensed payment institution or escrow provider. We will disclose the actual payment method, any applicable holding/release mechanism, payout timing and material fees before using it.
Creators and businesses remain responsible for their own taxes and invoices unless Crafya is required by law to collect, deduct or report particular amounts. Crafya may require identity, account or tax information when needed for lawful onboarding, payments or fraud prevention.
Payment disputes, failed transactions, chargebacks, refunds and cancellations will be handled according to the disclosed transaction terms, applicable payment-provider rules and non-excludable consumer rights. Crafya will not adopt a blanket "no refunds" rule that overrides applicable law.
12. Commerce, referrals and commissions --- only if launched
Future tools may allow creators to promote products using links or codes, connect external commerce services (for example, Shopify or Bumpa where integrations are authorized), or sell through a Crafya-enabled experience. Until a particular tool is launched, no right to use it, earn commissions or receive attribution is created by this description.
For any activated referral or selling programme, the relevant offer must disclose the seller of record, product/service provider, commission formula, qualifying events, attribution window, exclusions, refunds/returns treatment, payment thresholds (if any), fees and payout timing before a user opts in.
Unless explicitly stated in the checkout or seller terms, a third-party seller, not Crafya, is responsible for product quality, fulfilment, delivery, customer support, warranty, safety, pricing claims and applicable consumer remedies. Crafya remains responsible for its own legal duties and for the services it expressly undertakes to supply.
13. AI-assisted features --- only if launched
Future AI assistants may help users structure campaign briefs, suggest creators, evaluate fit, draft content ideas or navigate the platform. AI outputs can be incomplete, inaccurate or inappropriate for a particular campaign. Users must review and approve consequential actions, facts, budgets, messages and contractual terms before relying on them.
Unless clearly disclosed and expressly enabled, AI tools will not independently enter collaborations, send binding offers, spend funds or transfer rights on a user's behalf. Users must not submit confidential third-party or sensitive personal information into an AI feature without the right and a lawful basis to do so.
We will explain meaningful AI processing and any automated decisions in the Privacy Policy and relevant product notices. Users may have applicable rights regarding decisions based solely on automated processing that significantly affect them.
14. Crafya technology and brand
Crafya retains its rights in its website, code, product interfaces, brand, logos, designs, databases, methods and other original platform materials. Subject to these Terms, we grant users a limited, revocable, non-transferable right to use available features for authorized purposes.
You may not reverse-engineer the service unlawfully, scrape restricted data, resell access, misuse the brand, copy protected platform assets, probe security weaknesses without authorization or present yourself as speaking for Crafya. Nothing here transfers ownership of user content to Crafya beyond the operational licences expressly granted.
15. Prohibited conduct and platform integrity
You may not use Crafya for fraud, scams, unlawful advertisements, counterfeits, unsafe or prohibited products, spam, harassment, hate or threats, deceptive advertising, impersonation, unauthorized collection of personal data, fake social metrics, payment evasion, credential theft or violation of third-party platform terms.
You must obtain any rights, releases, authorizations and legal consents needed for content, personal information, likenesses, music, products, promotions and commercial claims. We may investigate credible reports, moderate content and suspend accounts or features proportionately where necessary.
16. Third-party services and links
Social networks, hosting providers, analytics tools, payment providers, e-commerce platforms and other third parties are independent operators. Their services, permissions, availability and policies may change, and use of their services may be governed by separate terms. Crafya is responsible for its own obligations, but cannot promise uninterrupted third-party APIs or features outside its control.
17. Cancellation, disputes and remedies
For campaigns, the creator and business should agree cancellation milestones, revision allowances, approval windows, payment consequences, deliverable ownership and dispute timelines within their Collaboration Terms. Where no such terms exist, applicable law and any separately agreed contract govern. We may offer support, evidence preservation or voluntary mediation without guaranteeing an outcome.
Raise support, privacy, billing or conduct complaints with hello@crafya.com. Please include your account email, collaboration identifier and concise description of the issue; do not email passwords or full payment-card details. We will make reasonable efforts to acknowledge and assess legitimate complaints.
Nothing in these Terms limits consumer rights or remedies that cannot lawfully be excluded under applicable law.
18. Suspension, closure and effects
You may stop using the public site, unsubscribe from optional communications, disconnect supported social accounts and request account closure when an account service is available. We may suspend or close access for material breach, security threats, legal obligations, repeated harmful conduct or prolonged inactivity with appropriate notice where reasonably practicable.
Closing an account does not automatically erase finalized collaboration obligations, prevent lawful retention of records or cancel a transaction that has already become binding. See the Privacy Policy for deletion rights, applicable exceptions and retention.
19. Availability, warranties and liability
We aim to make Crafya reasonably reliable, but pre-release and beta services may experience interruptions, changes and defects. Except as expressly promised in a specific paid agreement and subject to applicable law, we do not guarantee uninterrupted availability, particular matches, campaign performance, social-platform data, earnings or sales.
Nothing in these Terms excludes liability for fraud, intentional wrongdoing, gross negligence where exclusion is prohibited, or statutory rights and remedies that cannot lawfully be waived. Any limitation of liability will be interpreted only to the extent permitted by Nigerian law and any other mandatory law applicable to you.
20. Changes to these Terms
We may revise these Terms as the product, law or business changes. We will post the updated date and, for material changes affecting active users, provide appropriate advance notice through the site or contact details we have. Continued use after a change takes effect may constitute acceptance where legally permissible; where consent or express agreement is required, we will obtain it.
21. Governing law and contact
These Terms are governed by the laws of the Federal Republic of Nigeria, subject to mandatory rights under other applicable laws. We encourage good-faith resolution of disputes through our support channel before formal proceedings. Where no binding alternative dispute arrangement applies, disputes may be brought before courts of competent jurisdiction in Nigeria, without removing rights that must remain available by law.
